Terms of Use

Last updated · Version 1.0

THESE TERMS INCLUDE A WAIVER OF CLASS ACTIONS AND A MANDATORY ARBITRATION CLAUSE. PLEASE READ SECTION 17 CAREFULLY.

MACHINE.FUN IS A SOFTWARE INTERFACE TO DECENTRALISED, PERMISSIONLESS PROTOCOLS THAT WE DO NOT OWN OR CONTROL. NOTHING ON IT IS AN OFFER OR SOLICITATION TO BUY OR SELL ANY SECURITY OR FINANCIAL INSTRUMENT, OR INVESTMENT, LEGAL OR TAX ADVICE. TOKENS ARE CREATED BY USERS, NOT BY US, AND YOU CAN LOSE ALL OF THE VALUE YOU PUT INTO THEM.

1. Introduction

These Terms of Use (these "Terms") are a contract between you and the company that operates Machine.fun, a corporation (together with its successors and assigns, "Machine.fun", "we", "our" or "us"), and govern your access to and use of https://machine.fun, its interfaces and APIs (the "Services"). Our legal name and registered address are available on request by email to legal@machine.fun to any person with a legitimate need, including to bring or defend a legal proceeding. By using the Services you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Changes

We may change these Terms at any time. Changes take effect when posted. If you keep using the Services, you accept them.

3. What the Services are, and what we do not control

3.1 The Services are a front-end software interface that lets you connect your own self-custodial wallet to public smart contracts on the Solana blockchain, including the Raydium LaunchLab protocol, which is operated by third parties. Tokens are launched, traded and held through those decentralised protocols, not by us.

3.2 We do not own, operate or control the Solana blockchain, the Raydium protocol, any token, or the actions of any user. We do not custody your assets, hold your private keys, execute trades on your behalf, or have the ability to reverse, cancel or recover any transaction. Anyone can interact with the underlying smart contracts directly, without using the Services.

3.3 The Services are permissionless. We do not review, vet, approve, rank or curate tokens, projects or creators, and no display of a token on the Services is an endorsement of it.

3.4 Nothing on the Services is an offer, a solicitation, a recommendation, or investment, legal or tax advice. You alone are responsible for your decisions.

3.5 Our responsibility is limited to making the interface available. We are not responsible for the operation, security or outcome of any smart contract, protocol or blockchain, or for any token or transaction, all of which operate independently of us.

3.6 Where the Services use smart contracts deployed by or for us, such as the Ignition contract, those contracts run on-chain as deployed.

4. Eligibility

You must be at least 18 years old. You may not use the Services if you are a "Restricted Person", meaning any person who is:

(a) a citizen or resident of, located in, incorporated in, or accessing the Services from the United States (including its territories), Canada, the United Kingdom, the United Arab Emirates or Germany;

(b) located in, ordinarily resident in, or organised under the laws of Cuba, Iran, North Korea, Syria, Russia, Belarus or Myanmar, or any other country or region that is subject to comprehensive or territorial sanctions imposed by the United Nations, the United States, the European Union, the United Kingdom or Switzerland;

(c) located in or resident of Algeria, Morocco, Bangladesh, Nepal, Egypt, Iraq or Afghanistan;

(d) listed on, or owned, controlled by or acting for a person listed on, any sanctions list of the United Nations, the United States (including OFAC), the European Union, the United Kingdom or Switzerland; or

(e) a person for whom use of the Services would be unlawful.

You confirm you are not a Restricted Person, and you will not use a VPN or other means to get around any restriction. We may block access by IP address, wallet address or device.

5. Using the Services

5.1 You may view token, market and machine data, create an account, handle and profile, connect a wallet, launch tokens, swap tokens through third-party protocols, and claim amounts made available to your wallet. You are responsible for your account, your wallet and every transaction you sign. Blockchain transactions are final.

5.2 Information you publish when launching a token, including the name, ticker, image, description, links and launching handle, is recorded on the blockchain and in permanent public storage and cannot be changed or deleted by anyone.

6. Launching tokens

6.1 You are solely responsible for any token you launch and everything you say about it. You confirm that your launch is lawful, does not infringe anyone's rights, does not falsely claim any affiliation, and does not promise holders any return, profit, buyback or other benefit. Launch terms shown at the time of launch also apply.

6.2 A share of trading fees from your token, at the rate shown in the documentation, may be claimed by the creator wallet you designate. This is a fee arrangement for your use of the Services and creates no partnership or interest in us or anyone else. We may change the rate for future launches.

6.3 Ignition is an optional smart contract that lets you lock a percentage of your own tokens under release conditions that you choose. The lock is shown publicly and operates on-chain as deployed. It covers only the tokens placed in it and is not an assessment of you or your token by us.

7. Badges and data

7.1 A badge shows only that the relevant verification software was used and that its check was passed at the time shown. The creator chose to use that software at its own discretion. A badge is not an endorsement, audit or recommendation, and does not mean any machine exists, performs as described or is connected to any token.

7.2 Machine, market and other data on the Services comes from third parties, and is provided as is. It may be delayed, incomplete or wrong.

8. Fees

You pay the fees shown on the Services at the time of the relevant action, plus network fees and any third-party fees. Fees are not refundable. We may change fees at any time for future transactions.

9. Platform mechanisms

We may, at our sole discretion, use platform revenue to make distributions to users, including in USDC, or for any other purpose. These mechanisms are not an obligation owed to you. They are not made in exchange for anything you do or hold, create no account, balance, claim or expectation of any return, and may be changed, paused or ended at any time. An amount is yours only once it has been transferred to your wallet. We make no commitment to buy, burn or support the price of any token.

10. Risks

Tokens launched through the Services are highly speculative and may have no value or utility. Creators and other users may act dishonestly. Smart contracts, protocols and blockchains can fail or be exploited. Regulation may change and restrict your use of the Services or any token. You use the Services entirely at your own risk.

11. Prohibited uses

You will not use the Services for anything unlawful, fraudulent or manipulative, for money laundering or sanctions evasion, to impersonate anyone or infringe anyone's rights, to post unlawful or harmful content, to attack, overload or exploit the Services, or to circumvent any restriction we apply.

12. Intellectual property

The Services and the Machine.fun name and logos are owned by us or our licensors. We grant you a limited, revocable licence to use the Services under these Terms. You keep ownership of content you submit and grant us a worldwide, royalty-free licence to use it to operate and promote the Services. To report infringement, contact legal@machine.fun.

13. Suspension, removal and termination

We may, at any time, for any reason or no reason, and without notice or liability, restrict or end your access to the Services, block any wallet or IP address, remove or hide any content, token page or handle from our interface, or change or discontinue any part of the Services, except where applicable law requires otherwise. We have no obligation to monitor the Services. These actions affect only our interface. They do not affect tokens or assets on the blockchain, which you can continue to access directly.

14. Third-party services

The Services rely on third-party protocols, blockchains, wallets, data providers and hosting, which are governed by their own terms. We do not control them and are not responsible for them. To the maximum extent permitted by law, you release us from all claims relating to any third-party service.

15. Disclaimer and limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE, OUR AFFILIATES AND SERVICE PROVIDERS, AND OUR AND THEIR DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS (THE "PROTECTED PARTIES") ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR DIGITAL ASSETS, INCLUDING LOSSES CAUSED BY OTHER USERS, TOKENS, EXPLOITS OR THIRD-PARTY PROTOCOLS. THE PROTECTED PARTIES' TOTAL LIABILITY TO YOU IS LIMITED TO THE GREATER OF USD 100 AND THE FEES YOU PAID US IN THE SIX MONTHS BEFORE THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

16. Indemnity

You will indemnify the Protected Parties against any claims, losses and costs arising from your use of the Services, your token launches and content, or your breach of these Terms or of any law.

17. Disputes

17.1 Before bringing any claim, contact us at legal@machine.fun and try to resolve it with us in good faith for 60 days.

17.2 Any dispute not resolved in that time will be finally resolved by arbitration under the rules of the Centro de Conciliación y Arbitraje de Panamá (CeCAP), seated in Panama City, before one arbitrator, in English and remotely where possible. Claims may be brought only individually, not as a class or representative action, and must be brought within one year after they arise.

17.3 If you are a consumer in the European Economic Area, you keep the protection of the mandatory laws of your country of residence, and these Terms apply to you only to the extent those laws allow.

18. Illegal content

We may remove or disable access to any content on the Services that we consider illegal, infringing or harmful, including after a notice from any person or authority. We have no obligation to monitor the Services. To report illegal content, email legal@machine.fun with the location of the content and why you believe it is illegal. Removal affects only our interface and does not affect tokens or assets on the blockchain.

19. Governing law and general

These Terms are governed by the laws of the Republic of Panama. They are the entire agreement between you and us about the Services. If any part is unenforceable, the rest remains in effect. We may assign these Terms; you may not. We are not liable for events beyond our reasonable control. The English version prevails over any translation.
